Jennifer Faucett Cote

Private and public companies, financial institutions, non-profit organizations, and governmental entities seek counsel from Jennifer Cote with respect to a wide range of employee benefit and executive compensation matters, including those matters arising in connection with mergers and acquisitions.

Clients work with Jennifer on the design, implementation, administration, and on-going maintenance of their employee benefit plans such as:

  • Profit Sharing Plans
  • Employee Stock Ownership Plans (“ESOPs”)
  • 401(k) Plans
  • Health and Welfare Plans

Clients also work with Jennifer to maintain their benefit plans in compliance with the Employee Retirement Income Security Act, or ERISA, and applicable portions of the Internal Revenue Code.

Clients rely on Jennifer to assist them with various aspects of their executive compensation programs, including:

  • Design, implementation, and drafting of employment agreements, equity compensation plans, and other non-qualified deferred compensation plans
  • Drafting descriptions of compensation-related items for securities filings and proxy statements

Jennifer also performs due diligence reviews and advises clients on benefits and compensation matters in connection with mergers and acquisitions, including the preparation of documentation for benefit plans and compensation arrangements for the surviving entity.
