Stacey Harlow

An associate in Waller’s Corporate practice, Stacey Harlow assists both publicly traded and privately held companies, private equity firms, investment banks in mergers, acquisitions, joint ventures, divestitures and corporate governance matters.  Stacey has led legal teams in drafting due diligence memoranda in connection with corporate and commercial transactions, and she drafts corporate governance documents – including operating agreements, formation documents, and resolutions – for limited liability companies, corporations and limited partnerships. Additionally, Stacey assists clients with securities offerings and periodic reporting required by the Securities Exchange Act of 1934.

Prior to joining Waller, Stacey gained valuable experience as an associate in the Washington, D.C. office of Fried, Frank, Harris, Shriver & Jacobson LLP where she contributed to a number of high-profile transactions in the healthcare and financial services industries. While she was in law school in Washington, D.C., Stacey served as a  Legal and Government Affairs Intern with the Insured Retirement Institute and a Student Honors Program Intern with the U.S. Securities and Exchange Commission. Additionally, she was a Law Clerk with the Amtrak Law Department.

Stacey is licensed in the District of Columbia and is practicing in Tennessee subject to Tennessee Supreme Court Rule 7, Article V, Section 5.01(g) pending admission to practice in Tennessee.


  • Represented a publicly traded health insurer, acting as part of a consortium with private equity firms, in a number of high-profile transactions, including
    • The $4.1 billion acquisition of a home care and hospice provider
    • The $1.3 billion acquisition of a home care and palliative care provider
    • The $4.9 bid for the acquisition of a primary and urgent care provider
  • Represented a publicly traded engineering and technical firm in the $170 million sale of its subsidiary
  • Represented a large private equity firm in the $54 million acquisition of a Texas-based utility services provider
  • Represented a private equity firm in the bid process for the acquisition of a securities brokerage firm
  • Represented an investment bank in its minority investment in a privately owned chain of fast-casual pizza restaurants and its minority investment in a privately owned secure payment platform focused on Internet-based services
  • Represented a privately owned investment firm in the preparation of formation documents for a hedge fund and its managing entities
  • Represented an investment bank in the funding, liquidation and dissolution of entities as part of several individual, complex fund structures
