Public and private companies – domestic and international – depend on Waller’s team of experienced and accessible attorneys for matters arising in mergers and acquisitions, joint ventures, securities transactions and compliance, collaborative business arrangements, and general corporate matters.

Experienced in complex business transactions, we represent commercial banks, issuers, acquirers, targets, sellers, financial advisors, institutional investors, boards of directors and special committees in both negotiated and contested transactions. We also represent funds and investor groups that are frequent participants in securities and mergers and acquisitions transactions.

Attorneys in our corporate and commercial transactions practice serve in a consultative role to clients who are structuring strategic alliances or considering financial or strategic investments. Clients who maintain ongoing, active acquisition programs often rely on our firm to handle their transactional work as an extension of their in-house development capabilities. We are adept in serving either as lead or local counsel in multi-state or international transactions and as special counsel when needed to ensure cost-effective representation.

Lawsuit Settlement to Bring $40 Million for Tennessee Charities

The State of Tennessee will receive $40 million as a result of the settlement of a dispute between two public companies and the court-appointed Receiver for two nonprofits. “With Waller’s assistance, the Tennessee Attorney General has ensured that Tennessee nonprofit corporations are governed and operated in accordance with their charitable purposes,” said Receiver James Skinner, who retained Waller to represent him in the litigation.
