Hospitals, Outpatient Healthcare Facilities and Senior Housing

Waller counsels owners, operators, developers and managers in a wide-variety of commercial real estate transactions in the healthcare and senior housing/long-term care industries.  We advised a publicly traded hospital system as it spun off more than 70 rural hospitals into two new publicly traded companies, assembling the real property portfolios, performing nationwide due diligence and preparing the conveyance documents.  Waller also represented a public healthcare REIT in the acquisition and leaseback of 10 skilled nursing facilities and the related assumption of bridge and FHA-insured loans.

Medical Office Buildings

Waller assists clients in the purchase and sale, development, management and leasing of medical office buildings.  We  represented a publicly traded hospital system in the spin-off of more than 110 medical office buildings across nearly 20 states to a newly created real estate joint venture.  On the buyer-side, we counseled a publicly traded healthcare REIT in the acquisition of a 15-medical office building portfolio from a not-for-profit hospital system.

Waller also represents REITS, hospitals and other providers of healthcare services in the drafting and negotiation of office space leases, campus ground lease arrangements and development agreements for state-of-the-art medical facilities.

Represented a publicly traded hospital company of a 400+ bed acute care hospital serving South Florida and a long-term acute care facility located on the hospital's campus located on the Mercy campus.

Private Equity Recapitalization of Public Surgery Center Company

Represented a Nasdaq-listed operator of short-stay surgical facilities in its $600 million merger with a New York-based private equity firm.

Surgical Hospital Acquisition

Represented an investor-owned healthcare provider of short-stay surgical facilities in its acquisition of an ownership interest in a 40-bed facility providing surgical and ancillary services in Idaho.

Acquisition of Revenue Cycle Management Firm and Subsidiary

Represented privately held healthcare technology company in its acquisition of revenue cycle management firm and its claims consulting and outsourcing subsidiary. Also represented client in securing acquisition funding for the transaction.

Represented leading healthcare revenue cycle management company in its $232 million private equity recapitalization.
